Terms of Service

Please read these Terms carefully. They are a contract between you and Kanso Labs covering your use of Helm and the Trimtab suite.

1. Agreement to these terms

These Terms of Service ("Terms") govern your access to and use of Helm, part of the Trimtab suite operated by Kanso Labs ("Kanso Labs", "we", "us"). By creating an account or using Helm, you agree to these Terms and to our Privacy Policy. If you are using Helm on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.

2. The service

Helm is a software-as-a-service product that helps teams plan and run their work across the Trimtab suite (strategy, roadmaps and delivery). We may add, change or remove features over time. We aim to give reasonable notice of material changes that adversely affect paying customers.

3. Accounts and eligibility

You must provide accurate account information and keep it up to date. You are responsible for safeguarding your credentials and for all activity under your account. You must be at least 16 years old, or the age of digital consent in your jurisdiction, to use the service.

Workspaces are owned by the organisation or individual that creates them. Workspace owners and admins control membership, roles and billing.

4. Plans, billing and AI credits

Paid plans are billed per editor seat, per app, monthly or annually. Read-only viewers are free. Subscriptions renew automatically for successive periods until cancelled. You authorise us and our payment processor to charge your payment method for applicable fees and taxes.

AI features consume credits (one credit per AI run) drawn from a shared workspace pool. Plans include a monthly credit allowance; you may purchase one-off credit packs or a recurring add-on. Credits and one-off packs are non-refundable and, except where stated, do not roll over. Fees are exclusive of taxes unless stated otherwise.

Except where required by law, payments are non-refundable. You can cancel at any time; cancellation takes effect at the end of the current billing period.

5. Acceptable use

You agree not to misuse the service. You will not: break the law or infringe others' rights; upload malware or attempt to disrupt or gain unauthorised access to the service; reverse engineer or resell the service except as permitted; or use the service to generate unlawful, harmful, or abusive content. We may suspend accounts that put the service, our users, or third parties at risk.

6. Your content

You retain ownership of the content you and your team submit to Helm ("Customer Content"). You grant Kanso Labs a worldwide, non-exclusive licence to host, process, transmit and display Customer Content solely to provide and improve the service for you, including sending relevant content to our AI sub-processors to generate the outputs you request.

You are responsible for your Customer Content and for having the necessary rights to it. AI-generated outputs are provided to you to use as part of your workspace; you are responsible for reviewing them before relying on them.

7. Our intellectual property

The service, including its software, design, and trademarks (including "Trimtab", "Helm" and our logos), is owned by Kanso Labs or its licensors and is protected by intellectual-property laws. These Terms do not grant you any rights to our marks or software except the limited right to use the service.

8. Third-party services

The service integrates with third-party providers (for example, payment processing, AI model providers, and optional connectors such as Jira or Linear). Your use of those integrations may be subject to the third party's terms, and we are not responsible for third-party services.

9. Disclaimers

The service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that AI outputs will be accurate or fit for your purpose.

10. Limitation of liability

To the maximum extent permitted by law, Kanso Labs will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or goodwill. Our total liability arising out of or relating to the service is limited to the amounts you paid us for the service in the 12 months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded by law (including certain rights under the Australian Consumer Law).

11. Termination

You may stop using the service and close your account at any time. We may suspend or terminate access if you breach these Terms or to comply with law. On termination, your right to use the service ends; we may delete Customer Content after a reasonable retention period, subject to the Privacy Policy.

12. Governing law and changes

These Terms are governed by the laws of New South Wales, Australia, and you submit to the non-exclusive jurisdiction of its courts. We may update these Terms from time to time; if we make material changes we will give reasonable notice (for example, by email or in-product). Continued use after changes take effect constitutes acceptance.
